Terms and Conditions
NOMBERONE — WENZHOU ITRAVEL LUGGAGES CO. LTD.
- About These Terms
These Terms and Conditions (“Terms”) govern every quotation, order, sale and delivery of luggage, bags and related products by WENZHOU ITRAVEL LUGGAGES CO. LTD. (“we”, “us”, “our”), the manufacturer and exporter trading under the brand NOMBERONE, to any business customer (“you”, “the Buyer”). By requesting a quotation, placing a purchase order, or accepting a Proforma Invoice issued by us, you accept these Terms in full and confirm that you have authority to bind the company you represent.
This website is a business-to-business (B2B) wholesale platform. We do not sell to end consumers, we do not display prices online, and no online payment, shopping cart or checkout is provided. Every sale is concluded individually through a written quotation and a Proforma Invoice.
- Definitions
- Goods — luggage, bags, trolley cases, backpacks and related products supplied by us.
- Quotation — our written offer of price and terms, valid for thirty (30) days unless stated otherwise.
- Proforma Invoice (PI) — our written order confirmation setting out items, quantities, prices, payment terms and delivery terms.
- Order — the Buyer’s written acceptance of the PI together with payment of the agreed deposit.
- Contract — the agreement formed between us and the Buyer as described in Clause 4.
- Stock Item — a product made to our standard specification and held in or rapidly produced from stock.
- Custom Order — a product carrying the Buyer’s logo, colour, size, packaging or other modification.
- Incoterms 2020 — the trade terms published by the International Chamber of Commerce in force at the date of the Contract.
- Quotations and Prices
3.1 Quotations are valid for thirty (30) calendar days from the date of issue unless a different validity period is stated on the quotation itself.
3.2 Unless stated otherwise, prices are quoted in US Dollars, per piece or per set, on an EXW Wenzhou or FOB Ningbo / Shanghai basis, and do not include freight, insurance, destination port charges, import duties or taxes.
3.3 Prices are based on the specifications, quantities, colourways and packaging described in the quotation. Any change requested by the Buyer may result in a revised price and delivery date.
3.4 Quotations are issued subject to availability of raw materials, confirmed artwork and the minimum order quantity stated for the relevant item. Where material costs or exchange rates move materially, we may withdraw or re-issue a quotation before the Order is confirmed.
3.5 A quotation is an invitation to trade and does not by itself constitute a binding offer.
- Order Confirmation and Formation of Contract
4.1 To place an order, the Buyer shall send us a written purchase order stating item numbers, quantities, colourways, packaging requirements, delivery term, destination port and required delivery date.
4.2 We will issue a Proforma Invoice confirming the final details. A Contract is formed when (a) the Buyer signs and returns the Proforma Invoice or confirms it in writing, and (b) the deposit specified in Clause 5 has been received and cleared in our bank account.
4.3 Any amendment requested after the Proforma Invoice has been confirmed must be made in writing. We will confirm whether the amendment is accepted and, if accepted, whether it affects the price or the delivery date. Amendments requested less than seven (7) working days before the scheduled production date may not be possible.
4.4 Cancellation: (a) before we purchase materials — free of charge; (b) after materials have been purchased or production has started — the Buyer shall pay all costs actually incurred by us, including customised materials, printing and labour; (c) after shipment — the order may not be cancelled.
- Payment Terms
5.1 Unless otherwise agreed in writing, payment is made by bank transfer (T/T) as follows: thirty per cent (30%) deposit upon order confirmation, and the remaining seventy per cent (70%) balance before shipment or before release of the original Bill of Lading / telex release.
5.2 For orders above US$30,000, an irrevocable Letter of Credit at sight, issued by a bank acceptable to us, may be used at the Buyer’s request.
5.3 Sample orders and orders below US$3,000 are payable one hundred per cent (100%) in advance.
5.4 All bank charges levied outside our bank are for the Buyer’s account.
5.5 If any amount is not paid when due, we may suspend production, withhold shipping documents or stop delivery, and charge interest at 0.05% per day on the overdue amount, or the maximum rate permitted by applicable law if lower. Any costs of recovery, including reasonable legal costs, are payable by the Buyer.
5.6 Title to the Goods remains with us until we have received payment in full. Risk in the Goods passes in accordance with the agreed Incoterms 2020 rule.
- Minimum Order Quantity, Mixed Containers and Consolidation
6.1 We do not impose a minimum order quantity on standard stock items. To keep export handling economical, we may apply a minimum order value of US$5,000 per shipment, or a minimum volume of 28 CBM.
6.2 Mixed container and consolidation service: the Buyer may combine different models, sizes and colourways in one container. We will provide a loading plan and container utilisation report for approval before booking.
6.3 Custom (OEM / ODM) items carry their own minimum order quantity per model and per colour, which is stated in the quotation.
- Samples
7.1 Samples are charged at our sample price plus express freight. Where a bulk order for the same item is subsequently confirmed, the sample charge may be credited against the first commercial invoice, subject to the conditions stated in the sample quotation.
7.2 Stock-item samples are normally dispatched within 3-5 working days; customised samples within 10-15 working days after artwork approval.
7.3 Samples are supplied for evaluation and testing only and may not be resold.
- OEM, ODM and Customisation
8.1 We accept customisation of logo, colour, trolley system, wheels, handles, locks, lining, zips, packaging, barcodes, hang tags and instruction manuals.
8.2 Artwork shall be supplied in a print-ready vector format (AI, EPS or PDF, CMYK). We provide one proof for approval free of charge; further revisions may be charged.
8.3 The Buyer warrants that it owns or is licensed to use all trade marks, logos, designs and copyright in the materials it supplies, and indemnifies us against any claim, loss or cost arising from an alleged infringement of third-party rights.
8.4 Colour matching is carried out against a Pantone reference agreed in writing. A reasonable commercial match shall be deemed compliant; minor variation caused by material, printing or lighting conditions is acceptable.
8.5 We may retain a small quantity from the production run for quality records and photography. We will not sell customised goods bearing the Buyer’s brand to any third party without the Buyer’s written consent.
- Product Specifications, Colours and Tolerances
9.1 Product images, drawings and descriptions on this website are provided for illustrative reference. Actual colour may differ slightly from screen rendering.
9.2 Dimensions, weights and capacities are nominal. A manufacturing tolerance of up to ±3% on dimensions and up to ±5% on weight applies and does not constitute a defect.
9.3 We may modify construction, materials or components without prior notice, provided that the function and appearance of the product are not materially affected.
- Intellectual Property
All content on this website, including product photographs, catalogues, drawings, text and the NOMBERONE brand, is owned by us or licensed to us. It may not be copied, reproduced or used for commercial purposes without our prior written permission.
- Delivery, Risk and Title
11.1 Lead times: stock items are normally ready within seven (7) days; OEM / ODM orders are normally ready within twenty-five to thirty (25-30) days. Lead time runs from the later of (a) receipt and clearing of the deposit and (b) approval of artwork, packaging and colour samples.
11.2 Lead times are estimates given in good faith. Chinese New Year, national holidays, raw material shortages, port congestion, limited carrier space and other events beyond our reasonable control may extend them. We will inform the Buyer as soon as we become aware of a material change.
11.3 Risk passes in accordance with the agreed Incoterms 2020 rule: for EXW, when the Goods are placed at the Buyer’s disposal at our premises; for FOB, when the Goods are loaded on board the vessel; for CIF or CFR, when the Goods are delivered on board.
11.4 Partial shipment and transshipment are permitted unless expressly excluded in writing.
- Inspection, Warranty and Claims
12.1 The Buyer shall inspect the Goods promptly upon arrival and, in any event, within seven (7) calendar days of arrival at the destination port or warehouse.
12.2 Any claim for shortage, damage, incorrect item or incorrect specification must be notified to us in writing within seven (7) calendar days of arrival, supported by photographs, video where possible, the packing list and the container number. Claims submitted after that period may be declined.
12.3 Warranty: we warrant our products against manufacturing defects for twelve (12) months from the date of the Bill of Lading. Covered defects include trolley handle failure, wheel and wheel-housing defects, zipper and lock failure, lining defects, and shell cracking under normal use within the stated loading capacity.
12.4 The warranty does not cover: damage caused by misuse or overloading; airport, airline or road transport handling after risk has passed; normal wear and tear; cosmetic surface scratches; unauthorised repair or modification; goods sold as B-grade, second-hand or clearance stock; and consumable parts.
12.5 Remedy: at our option we will supply replacement parts or replacement units free of charge with the next shipment, or issue a credit note for the value of the affected goods. Claims are normally settled as parts or credit; cash refunds are at our sole discretion.
12.6 Liability cap: our total liability arising out of or in connection with an Order is limited to the invoice value of the Goods affected by the claim. We are not liable for loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss.
- Force Majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics or pandemic-related restrictions, war, civil unrest, government action, strikes, port closures, transport disruption, fire, flood, power failure, or shortages of raw materials or shipping space. Where such an event continues for more than sixty (60) days, either party may terminate the affected part of the Contract. Amounts paid for goods not delivered shall be refunded or, at the Buyer’s option, applied to a future order.
- Confidentiality
Each party shall keep confidential the other party’s prices, drawings, tooling, customer lists and other non-public commercial information, and shall use it only for the performance of the Contract. This obligation continues for three (3) years after delivery.
- Governing Law and Dispute Resolution
15.1 These Terms and any Contract formed under them are governed by the laws of the People’s Republic of China.
15.2 The parties shall first attempt to resolve any dispute through friendly negotiation within thirty (30) days.
15.3 If the dispute is not resolved, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules then in force. The seat of arbitration shall be Shanghai and the arbitration shall be conducted in English. The award shall be final and binding on both parties.
- Amendments and Severability
We may update these Terms from time to time. The version in force at the time the Contract is formed governs that Contract. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
